Definitions

Nfoshare LLC, a Delaware Limited Liability Company ("Nfoshare"), is the exclusive owner and operator of Nfoshare.com (the website).

Please read this Terms of Service agreement (the "Agreement") carefully.

"Service(s)" refers to your use of Nfoshare.com for any purpose whatsoever.

The Agreement sets the terms under which you (the "Member"), referring to the user of this website and its related services, have gained the right to use this website by respecting the applicable Terms of Service described in detail below.

By registering on the website, you become a Member and agree to be bound by the terms and conditions of this Agreement (the "Terms") for as long as you continue to be a Member.

As used in this Agreement, "we" and "us" means Nfoshare or any successor or assign of Nfoshare.

Overview

This Agreement sets forth the terms and conditions which apply to Member use of the Nfoshare.com website and all services offered by Nfoshare. By registering for the Service, the Member approves to be bound by all of the Terms in this Agreement.
IF YOU DO NOT AGREE TO BE BOUND BY THIS AGREEMENT, DO NOT USE THE WEBSITE OR THE SERVICE(S).

Nfoshare reserves the right, at any time to:

change or modify the Terms applicable to this Agreement;
change, modify, discontinue, or suspend any aspect of the Service, including the availability of any Service feature or content;
change any fees for the use of features or services on the website; and/or
change any fees for Nfoshare products or services sold to Members on the website.

Such changes will become effective upon notification to a Member either by email or by posting a revised Agreement on this website, which you can access at any time using the "Terms of Service" link. The Member's continued use of our service after notification of such a change has been sent shall be deemed to constitute acceptance by the Member of any such changes, modifications, additions or deletions. The Member agrees to review this Agreement periodically to be aware of any such revisions. Member use of the website after such notice will be deemed acceptance of the changes. Upon our request, Members will agree to sign a non-electronic version of this Agreement.

Eligibility

By registering on Nfoshare.com or accepting the Terms within this Agreement, the Member represents and warrants to Nfoshare that he/she:

is currently enrolled as a student at a college or university or is a professor, tutor, administrator or teacher's assistant of a college or university;
has never been convicted of a felony or any criminal offense characterized as a sexual offense and are not required to register as a sex offender with any government entity;
has not been suspended or removed from the Services;
has the right, authority and capacity to enter into this Agreement and to abide by all of the Terms of this Agreement;
is not a competitor of Nfoshare and is not using the Services for reasons that are in competition with Nfoshare or other than for its intended purpose;
has the right, authority and capacity to agree to and abide by the Terms of Service; and
will use this website in a manner consistent with any and all applicable laws and regulations.

Nfoshare does not currently conduct criminal background screening on its Members, but reserves the right to do so to confirm your compliance.

Registration

As part of the registration process, each Member will be asked to provide an "edu" email address to confirm affiliation with a college or university institution required to create an account on the Nfoshare.com website. Members will create only one unique personal profile account for use of the Services. We may refuse to allow any email address that
(i) is not affiliated with a college or university institution,
(ii) impersonates someone else, or
(iii) is or may be illegal or offensive, as we determine by our sole discretion.

The Member is responsible for the confidentiality and use of registered email and password, and agrees not to transfer or resell the use of or access to the website to any third party. Members are solely responsible for maintaining the confidentiality of their registered email and password and for any and all activities that are conducted through the account. The Member acknowledges that Nfoshare is not responsible for any loss or damage arising from the theft or misappropriation of your username, registered email or password.

User Agreement

This Agreement constitutes an agreement by the Member with Nfoshare with respect to the use of the Service. The Member must agree to abide by all of the Terms contained in this Agreement in order to become or remain an authorized user of the Service. Member rights in the use of the Service are subject to any limitations, conditions and restrictions established by us from time to time, in our sole discretion. To the extent Services are not legal in your jurisdiction, you may not use the Services. The Services may not be used where prohibited by law.

Code of Conduct

As a Member, you agree to use the Service in accordance with the following Code of Conduct:

Member agrees not to use the Service in any unlawful manner or in a manner that is harmful to or violates the rights of others;
Member will not engage in any illegal or unlawful activity on the website;
Member will not engage in any harassing, intimidating, predatory, or stalking behavior;
Member will not use the Service to post communications, pictures, or recordings which contain libelous, slanderous, abusive or defamatory statements, or racist, pornographic, obscene, or offensive language;
Member agrees not to use the Services in any manner that could disrupt, damage, disable, overburden, impair, or affect the performance of the Services;
Member will not interfere with or attempt to interfere with any other user's use of the Services;
Member will not collect or solicit personal information on the website from anyone under the age of 18;
Member will only ask questions which are academic in nature;
Member will not impersonate any person or entity, or misrepresent Member's age, identity, affiliation, connection or association with, any person or entity;
Member will not make any commercial use of the Services or promote or solicit involvement in or support of a political platform, religion, cult, or sect;
Member will not post messages, pictures or recordings or use the Service in any way which:

violates, plagiarizes or infringes upon the rights of any third party, including but not limited to any copyright or trademark law, privacy or other personal or proprietary rights, or
is fraudulent or otherwise unlawful or violates any law;

Member will not harvest or collect email addresses or other contact information of other users from the Services by electronic or other means or use the Services to send, either directly or indirectly, any unsolicited bulk e-mail or communications, unsolicited commercial e-mail or communications or other spamming activities;
Member will not disseminate another person's personal information without his or her permission, or collect or solicit another person's personal information for commercial or unlawful purposes; and
Member will not attempt to access any Services or area of the website that the Member is not authorized to access.

Termination of Services

This Agreement is effective upon the Member's first use of the Services and shall remain in effect until it is terminated in accordance with the terms of this Agreement.

a. Termination by Nfoshare

We may, in our sole discretion, terminate or suspend Member access to all or part of the Service at any time, with or without notice, for any reason, including, without limitation, or breach of this Agreement.
We also reserve the right to remove or block access to Member account information, User Content or data from our Services and any other records at any time at our sole discretion.
In the event that we determine that Member access to any of the Services is terminated or suspended for cause, such as due to any breach of this Agreement, flagged conduct or content, or third party complaints, the Member agrees that all fees then paid to Nfoshare by the Member will be nonrefundable, except as otherwise provided by law. All decisions as to the refundability of the fees are in Nfoshare's sole discretion.

b. Termination by Member

Members may request cancellation of services of any Nfoshare service at any time, for any or no reason, by accessing the "settings" page of the account.
Where a fee has been paid for a service, all such payments for service are non-refundable. Where billing for a service is recurring on a monthly, yearly or other periodic basis, the unused portion of the fee paid for a current service period will not be refunded.

User Content

Responsibility for User Content. Members are solely responsible for the content and information that is provided, published, displayed or otherwise communicated through the Services or to other users (collectively referred to as "post"), including, without limitation, messages, questions, essays, tests, data, photos, graphics, links, and email messages. Nfoshare does not control, take responsibility for or assume liability for any user content posted by Members or any third party, or for any loss or damage thereto, nor is Nfoshare liable for any mistakes, defamation, slander, libel, omissions, falsehoods, obscenity, pornography or profanity Members encounter. MEMBERS ARE SOLELY RESPONSIBLE FOR THE USE OF THE SERVICES AND USE THEM AT THEIR OWN RISK.
Accuracy of Information. Members will not provide any inaccurate, misleading, incomplete or false information or User Content to Nfoshare or to any other user on the website. Nfoshare takes no responsibility for any disciplinary sanctions, grades, or ill effects stemming from reliance on information gained through Nfoshare. Members agree that all photos posted to their profile are of themselves, and are authorized to be displayed. Members may be required to supply certain information and post a profile photo to use the Services.
No Duty to Review User Content. Members understand and acknowledge that Nfoshare has no duty to prescreen, review, control, monitor or edit the User Content posted by members and is not liable for User Content that is provided by others. The Member agrees that Nfoshare may, at its sole discretion, review, edit, refuse to accept or delete user content at any time and for any reason or no reason without notice.
License of User Content to Nfoshare. Member hereby grants Nfoshare an exclusive, world-wide, nonperpetual license to use Member's works on Nfoshare's website and warrants that Member is the author of such works and thereby has sole copyright rights over it. By submitting or posting user content, the Member automatically grants, represents, and warrants that he/she has the right to grant, to Nfoshare license to use, copy, publicly display, reproduce, adapt, modify and distribute such user content furnished by the Member in any medium. By posting user content, the Member hereby releases Nfoshare and its agents and employees from any claims that such use violates any Member rights. The Member understands that he/she will not be entitled to any additional compensation for any use of the user content he/she posted.
Use of Proprietary Information of Others. Members will not post, copy, transfer, create any derivative works from any copyrighted or trademarked or proprietary information or materials, including any user content posted by other users, without the prior consent of the owner of such proprietary rights. Members acknowledge that information or materials available through the Services may have copyright protection whether or not it is identified as being copyrighted.
Prohibited Content. Members will not post or transport to any other user any user content that is illegal or prohibited from being posted, which includes, but is not limited to any user content that is:
1. is obscene, pornographic, profane, defamatory, abusive, offensive, indecent, threatening, harassing, inflammatory, inaccurate, fraudulent or illegal;
2. promotes racism, bigotry, hatred or physical harm of any kind against any group or individual;
3. is intended to, or does, harass, or intimidate any other user or third party;
4. may infringe or violate any patent, trademark, trade secret, copyright or other intellectual or proprietary right of any party, including user content that contains others' copyrighted content without obtaining proper permission first;
5. contains video, audio, photographs, or images of another person without his or her permission or otherwise violates anyone's right of privacy;
6. violates someone's data privacy or data protection rights; and/or
7. contains viruses, time bombs, trojan horses, cancelbots, worms or other harmful, or disruptive codes, components or devices.
Social Networking Sites. When using Nfoshare through a social networking website where the Services are referred to as an application, the Member permits Nfoshare to access information from his/her profile on that site. Information collected from social networking sites is affected by the privacy settings established at such site. Using our Services through a social networking site, members authorize Nfoshare to collect, store, retain, and use indefinitely such information in accordance with our privacy policy.

External Links

The Service may from time to time contain links to other internet sites and resources ("External Links"). The Member acknowledges that Nfoshare is not responsible for, and has no liability as a result of the availability of External Links or their contents. We suggest that the Member review the terms of use and privacy statements of such External Links prior to using them. Further, the Member may not use, frame, or utilize any Nfoshare trademark, logo, or ther proprietary information, including the images found in the Services, or the content of any text or the layout/design of any page or form contained in the Services, without Nfoshare's express written consent.

Third Party Content

Nfoshare may provide third party content on the Services and may provide links to web pages and content of third parties (collectively the "Third Party Content") as a service to those interested in this information. Nfoshare does not control, endorse or adopt any Third Party Content and makes no representations or warranties of any kind regarding the Third Party Content, including without limitation regarding its accuracy or completeness. The Member acknowledges and agrees that Nfoshare is not responsible or liable in any manner for any Third Party Content and undertakes no responsibility to update or review any Third Party Content. The Member uses such Third Party Content contained therein at his/her own risk.

Privacy Policy

Nfoshare recognizes the importance of privacy and recognizes the sensitivity of personal information received by us in the course of offering our service. We recognize our professional obligation to maintain the confidentiality of our Members' information, and recognize our obligations concerning the personal information of all individuals that we collect, use or disclose on the website. This policy has been developed with those obligations in mind. Nfoshare collects personal information from Members to create a website profile. Nfoshare will not use or disclose Member personal information for purposes other than those described in this policy.

The Member acknowledges that:

we cannot ensure the security or privacy of information a Member provides through the Internet and Member email messages, and the Member releases us from any and all liability in connection with the use of such information by other parties;
we are not responsible for, and cannot control, the use by others of any information which a Member provides to them. Members should also use caution in selecting the personal information he/she provides to others through the Service; and
we cannot assume any responsibility for the content of messages sent by other users of the Service, and you release us from any and all liability in connection with the contents of any communications you may receive from other users. We cannot guarantee, and assume no responsibility for verifying the accuracy of the information provided by other users of the Service.

Nfoshare also may use third-party companies to provide various services when Members use the website. If a Member uses those services, the internet protocol address (IP address) of the computer the Member is using to access the website may be disclosed to those third-party companies, and we may use attributes that you provide in your public profile to display relevant ads to you. Nfoshare is not responsible for the privacy practices of these third-party companies or any other external websites linked to this site. We encourage you to read the privacy statements of these other websites when you leave our website.

Interactions

Members assume all risk when using the Services, including but not limited to all risks associated with any online or offline interactions with other Members, including real time conversations or meetings. Nfoshare does not routinely screen its members or inquire into the background of its users. Nfoshare does not make any representations, warranties, or guarantees as to the conduct of its users or their ability to correctly answer questions posted.

Limitation of Liability and Disclaimers

The Member understands and agrees that the use of Nfoshare.com and its related services is at his/her own risk. The Nfoshare.com� services are provided on an "as is" basis without representations or warranties of any kind, whether express or implied, including but not limited to warranties of title, non-infringement, or implied warranties of merchantability or fitness for a particular purpose, other than those warranties which are incapable of exclusion under law.

Nfoshare does not guarantee the accuracy, completeness, or timeliness of, or otherwise endorse any information contained on Nfoshare.com. Nfoshare may not be able to provide matches for everyone seeking to use the Services. The Member acknowledges that use of the service is at his/her own risk. We do not represent or endorse the accuracy or reliability of any member profile, advice, opinion, statement or other information displayed, uploaded or distributed through the Service by Nfoshare, our partners or any user of the Service or any other person or entity. The Member acknowledges that any reliance upon any such opinion, member profile, advice, statement or information shall be at his/her sole risk.

Nfoshare does not represent or warrant that:

Member use of the services will be secure, uninterrupted, complete, always available, error free, or will meet the Members' requirements
any defects in the Services will be corrected
the Services are free of viruses or other harmful components

Nfoshare disclaims liability for, and no warranty is made with respect to, the connectivity and availability of the Services or the delivery of any messages. Nfoshare does not have any obligation to verify the identity or screen Members using the Services, nor does it have any obligation to monitor the use of the Services by other Members of the website. Therefore, Nfoshare disclaims all liability for Member interactions and Member conduct for any misuse of any Members' identity or information. Under no circumstances will Nfoshare be responsible for any loss, damage, or harm of any kind resulting from any Member conduct or anyone's reliance on information or content posted on the Services or transmitted to or by any Members.

In no event will Nfoshare be liable for any indirect, incidental, special or consequential damages arising out of or relating to the use or inability to use the Services, including, without limitation, damages for loss or corruption of data or programs, even if Nfoshare knows or has been advised of the possibility of such damages. Under no circumstances will Nfoshare's aggregate liability in connection with use of the Services exceed the price paid by the Member. To the maximum extent permitted by law, in no event will Nfoshare be liable for any damages whatsoever arising out of or relating to the conduct of a member or anyone else in connection with the use of the Services, including, without limitation, emotional distress or bodily injury, resulting from communications with another member or user of the Services, whether or not such member or user was authorized to use the Services.

Indemnity

The Member hereby agrees to indemnify, defend and hold harmless Nfoshare and all officers, directors, owners, agents, information providers, affiliates, licensors and licensees (collectively, the "Indemnified Parties") from and against any and all liability and costs, including, without limitation, reasonable attorneys' fees, incurred by the Indemnified Parties in connection with any claim arising out of any breach by the Member of this Agreement or the foregoing representations, warranties and covenants. The Member shall cooperate as fully as reasonably required in the defense of any such claim. Nfoshare reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by the Member.

Disputes and Claims

Disputes

Nfoshare's goal is to resolve any disputes amicably and quickly and we encourage Members to contact us and explain complaints prior to initiating any legal action. The Member agrees that any dispute arising from this Agreement or about or involving the Services will be governed by the laws of the State of Delaware, without giving effect to any conflict of laws principles that may provide for the application of the law of another jurisdiction. The Member and Nfoshare agree to submit to the sole and exclusive jurisdiction of, and agree that venue is proper in, the state courts or the federal courts located in Wilmington, Delaware in such legal action or proceeding.

Any violation of this Agreement may cause Nfoshare irreparable harm, such that you agree Nfoshare will be entitled to seek a temporary restraining order or a preliminary or permanent injunction without the necessity to post a bond and without prejudice to any other remedies that Nfoshare may have for breach of this Agreement.

Claims for Copyright Violations

If you believe that any material or content distributed by Nfoshare constitutes copyright infringement, please provide us with the following information:

an electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest;
a description of the copyrighted work that you claim has been infringed;
a description of where the material that you claim is infringing is located on our website
your address, telephone number and email address;
a written statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and
a statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.

Proprietary Rights, Copyrights, and Trademarks

Proprietary Rights

The Service contains information which is proprietary to Nfoshare and its Members. We assert full copyright protection in the Service. Information posted by us or Members of the Service may be protected whether or not it is identified as proprietary to us or to them. The Member agrees not to modify, copy or distribute any such information in any manner whatsoever without having first received the express written permission of the owner of such information.

Copyrights

The Services contain the copyrighted material and other proprietary information of Nfoshare including without limitation, the Nfoshare logos, character images, and all designs, text, graphics, pictures, video, information, data, software, sound files, other files and the selection and arrangement thereof (collective, "Proprietary Materials").

The Member is granted license to access and use the Services and Proprietary Materials, subject to the Terms of this Agreement. The Member agrees not to:

copy, modify, publish, adapt, sell, distribute, transmit, display, reverse engineer, or otherwise disassemble any portion of the Proprietary Materials or the Services;
"frame" or "mirror" any part of the Services, without our prior written authorization;
use meta tags or code or other devices containing any reference to Nfoshare or the Services in order to direct any person to any other website for any purpose;
resell or make any commercial use of the Services;
use any data mining, robots, or similar data gathering or extraction methods or otherwise collect any pictures, descriptions, data or other content from the Services;
forge headers or otherwise manipulate identifiers in order to disguise the origin of any information transmitted through the Services;
use any automated methods or processes to create user accounts; and/or
use the Proprietary Materials or the Services other than for their intended purpose.

Any use of the Services or Proprietary Materials other than as specifically authorized herein, without the prior written consent of Nfoshare, is strictly prohibited and will violate and terminate the license granted herein.

Trademarks

Nfoshare logos and any other trade name or slogan contained in the Services are trademarks or service marks of Nfoshare, its partners or its licensors, and may not be copied, imitated or used, in whole or in part, without the prior written permission of Nfoshare or the applicable trademark holder. In addition, the look and feel of the Services, including all page headers, custom graphics, button icons and scripts, is the service mark or trademark of Nfoshare and may not be copied, imitated or used, in whole or in part, without our prior written permission. All other trademarks, registered trademarks, product names and company names or logos mentioned in the Services are the property of their respective owners. Reference to any products, services, processes or other information, by trade name, trademark, manufacturer, supplier or otherwise does not constitute or imply endorsement, sponsorship or recommendation thereof by Nfoshare.

Fees for Services

In addition to the free services provided on the Nfoshare.com website, certain services are offered which require payment for service such as for Freemiums, as defined on the Nfoshare.com website, and Advertising on Nfoshare.com. Where payment is required, the following additional terms and conditions will apply:

Privacy of Financial Information

Nfoshare will use the credit card information provided to bill for goods and services. By registering for a premium service or purchasing tickets to a Nfoshare event and providing credit card details, the Member agrees to be billed by Nfoshare for the premium services and/or the event tickets in advance. Nfoshare will not share Member financial information with third-parties, except as necessary to process payment. By providing credit card details to us, you consent to and authorize us to provide your credit card details to such credit card processors and financial institutions as are necessary to process your payment.

Termination of Services for Non-Payment

Where payment is required for a service and we are unable to charge the Member's PayPal account or credit card for any reason, we may discontinue any and all service to the Member either temporarily or permanently.

Cancellation of Services

You may request cancellation of services of any Nfoshare Service at any time. Where, however, a fee has been paid for a Service, all such payments for Service are non-refundable. Where billing for a Service is recurring on a monthly, yearly or other periodic basis, the unused portion of the current service period will not be refunded.
